Important Legal Notice
- This document is a legally binding agreement between you and Rumi Financial Technologies Pvt. Ltd.
- By creating an account or using the Rumi application you confirm you have read, understood, and agree to these Terms and this Privacy Policy in full.
- If you do not agree with any part of this document, you must not create an account or use the Application.
- These Terms are governed by Nepal law. Disputes are subject to the jurisdiction of the courts of Nepal, venue Kathmandu.
- This document does not constitute legal advice. Consult a qualified Nepal legal counsel if you require legal guidance.
1. Definitions
| Rumi, We, Us | Rumi Financial Technologies Pvt. Ltd., registered in Nepal under the Companies Act 2006. |

| Application / App | The Rumi mobile application (iOS and Android), related web interfaces, APIs, and all connected services. |
| User / You | Any natural person who has registered for, or is accessing, the Application. |
| Account | Your personal user account, secured by authentication credentials and NIN verification. |
| Services | Investment facilitation, portfolio management, wallet operations, payments, AI-powered advisory, and all digital financial services offered through the Application. |
| NIN | National Identity Number — the unique identifier issued under Nepal's National ID Card system by the Department of National ID and Civil Registration (DoNIDCR). |
| Biometric Data | Facial liveness scan data collected during onboarding and high-value transaction step-up, as defined under the Individual Privacy Act 2075, Section 2(c)(f). |
| KYC | Know Your Customer — identity verification procedures mandated by NRB Directives and the AML/CFT Act 2064. |
2. Eligibility and Account Registration
2.1 Eligibility Requirements
You may create an Account only if you meet ALL of the following conditions at the time of registration and at all times thereafter:
- You are at least 18 years of age.
- You are a natural person — a citizen or resident of Nepal.
- You hold a valid National Identity Card (Rastriya Parichaya Patra) with an active NIN issued by DoNIDCR.
- You are not subject to any court order, NRB directive, or government notice restricting your participation in financial contracts or securities transactions.
- You are not a Politically Exposed Person (PEP), nor an immediate family member or known associate of a PEP, unless you have completed Enhanced Due Diligence (EDD) as required by NRB AML/CFT Guidelines 2025.
- You are not subject to any asset freeze, sanctions listing, or AML/CFT investigation by NRB, FIU, or any court or competent authority.
- Your use of the Services is solely for lawful personal investment purposes.
2.2 Registration Steps
Registration requires completion of all steps below in sequence:
- Email or Google Login: Authenticate via a verified email address (OTP-confirmed) or Google OAuth 2.0.
- Personal Details: Provide your full legal name exactly as it appears on your National ID Card.
- NIN Submission: Enter your National Identity Number.
- Facial Liveness (Face ID): Complete a facial liveness scan using your device camera.
- KYC Documentation: Upload supporting documents as required by NRB Directives.
- AML/KYC Clearance: Your information is screened against PEP and sanctions lists.
3. Nature of Services and Risk Disclosures
3.1 Services Provided
- Digital wallet — deposit, hold, and withdraw Nepalese Rupees via Khalti.
- Investment facilitation — buying and selling NEPSE-listed securities via licensed Stock Broker TMS integration.
- Portfolio management and performance tracking.
- AI-assisted portfolio analysis (informational only).
- Transaction history, statements, and reporting.
3.2 Investment Risk Warning
MANDATORY RISK DISCLOSURE — Required under SEBON Investor Protection Provisions
- Investing in securities involves significant risk, including complete loss of all invested capital.
- Past performance of any security or investment does not guarantee or predict future results.
- NEPSE-listed securities are subject to market risk, liquidity risk, regulatory risk, and macroeconomic risk.
- The value of your portfolio may decrease as well as increase. Rumi guarantees no return on investment.
- Only invest money you can afford to lose entirely without affecting your financial wellbeing.
- Rumi is not a bank. Wallet deposits are NOT covered by Nepal DIDC unless explicitly stated.
- Nothing in the Application constitutes licensed financial advice under SEBON regulations.
- Rumi does not provide investment advice. All investment decisions are entirely your own responsibility.
4. Wallet, Payments, and Transactions
- Your Rumi wallet may only be funded through Khalti, an NRB-licensed PSP.
- Limits are set in compliance with NRB Directives and AML/CFT requirements.
- Prohibited transactions include money laundering, cryptocurrency activity, and transactions with sanctioned individuals/entities.
- Executed investment transactions on NEPSE are final after execution confirmation.
5. Authentication and Account Security
You are solely responsible for the security of your Account. You must:
- Never share your password or TOTP codes with any other person.
- Never allow another person to authenticate using your biometric data.
- Use a strong, unique password not used for any other service.
- Enable biometric device authentication for additional Account protection.
- Immediately contact security@rumi.com.np if you suspect any unauthorised access to your Account.
- Not use the Application on a device you know or suspect to be jailbroken, rooted, or otherwise compromised.
6. Prohibited Conduct
- Attempting to reverse-engineer, decompile, or extract the source code of the Application.
- Using automated scripts, bots, or scraping tools to interact with the Application.
- Probing, scanning, or testing the vulnerability of any Rumi system or network.
- Introducing malware, viruses, or malicious code into the Application.
- Using the Application in any manner that damages, disables, or impairs Rumi's infrastructure.
- Market manipulation, wash trading, or any conduct prohibited by SEBON or NEPSE rules.
- Impersonating any person or entity or misrepresenting your affiliation.
7. Intellectual Property
All intellectual property in the Application — including software, algorithms, trademarks, brand names, databases, and content — is owned by or licensed to Rumi Financial Technologies Pvt. Ltd. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Application for personal, non-commercial purposes in accordance with these Terms.
8. Limitation of Liability
To the maximum extent permitted by Nepal law:
- Rumi's total aggregate liability to you shall not exceed the total fees paid by you to Rumi in the twelve months immediately preceding the event giving rise to the claim.
- Rumi is not liable for any indirect, incidental, consequential, or punitive damages.
- Rumi is not liable for losses from market movements, force majeure events, third-party payment failures, or regulatory actions.
9. Termination and Suspension
We may immediately suspend or terminate your Account without prior notice if we reasonably suspect use of the Account for money laundering, terrorist financing, fraud, or any other criminal activity, or if you breach any provision of these Terms.
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Nepal. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nepal, with venue in Kathmandu.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Modified" date. Your continued use of the Application after any changes constitutes acceptance of the new Terms.
